Terms of Service

Thai'd Up is Minnie's Thai course. It is operated by Ghost Works Co., LLC, 22656 Esplanada Circle, Boca Raton, FL 33433, USA ("we", "us"), and these terms are an agreement between you and us. They cover the app at app.thaidup.app and the website at thaidup.app. By using Thai'd Up you agree to them. Our Privacy Policy explains how we handle your data.

These terms include an agreement to settle disputes by individual arbitration with JAMS, held online, instead of in court. Resolving disputes explains what that means and when it doesn't apply.

You need to be at least 13 years old. If you are under 20, the age of majority in Thailand, you need a parent or guardian's permission before buying anything. An account is for one person.

You can sign in with a one-time code sent to your email or with a passkey, or start as a guest without an account. Guest progress is tied to the browser you use; add an email to keep it if you change devices or clear your browser.

Keep access to your email and your devices secure: anyone who can read your sign-in codes, or unlock a device that holds your passkey, can sign in as you. Tell us at support@thaidup.app if you think someone else has used your account.

Some lessons are free for every learner; the app shows which ones. The rest need paid access. You can buy it in the app, redeem a gift code, or get it as part of Minnie's community and classes, which have their own terms.

• Prices. The app shows each plan's price and currency before you pay, and Stripe's secure checkout page shows the total again before you confirm. That total is what you pay: we don't add tax on top. Your bank may charge its own fees, for example for a payment in another currency. To buy, you need an account with an email address, not a guest account.
• Monthly and yearly plans renew automatically at the end of each period and charge the card on file, until you cancel. Cancel any time in Settings, which opens Stripe's billing page. Canceling stops the next renewal: you keep paid access until the end of the period you have already paid for. If we ever change the price of your plan, we will email you before the new price applies, and you can cancel before it does.
• Free trials. Some plans start with a free trial; the app shows its length before you start. Each account gets one free trial. If you don't cancel before the trial ends, the plan starts and your first payment is taken.
• Failed payments. If a renewal payment fails, Stripe tries again for a while. If it still can't be collected, paid access ends when the period you paid for runs out.
• Lifetime access is a one-time payment. It never renews, and it gives you the paid lessons for as long as we offer the course.
• Discount codes, typed in at checkout or included in a link from Minnie, work under the conditions that come with them.
• Gift codes from Minnie unlock access for the period the code states when you redeem it in the app. Each account can use a code once. Codes can expire or run out, and they can't be exchanged for money.
• Refunds. If something is not right, email support@thaidup.app within 14 days of a purchase and we will sort it out, including a refund where appropriate; where the law gives you a right to cancel or a refund, nothing here limits it. A full refund of a lifetime purchase ends the access it paid for.
• Living in the EU or UK? You can withdraw from a purchase within 14 days and get your money back. Checkout doesn't ask you to give this right up, so you keep it even if you have already started the lessons. Email support@thaidup.app to use it.

Please don't:

• copy, record, scrape, resell or publicly share lessons, audio or videos;
• share your account or paid access with other people;
• try to get around access controls or the paywall, or probe our systems for weaknesses;
• use bots or automated tools to access the app;
• use the app to harass anyone or to break the law.

We may suspend accounts that do, and will tell you why where we reasonably can.

Minnie's curriculum, lessons, recordings, videos, illustrations and the app itself belong to us or to the people who license them to us. While you have access, you may use them for your own, non-commercial learning.

Your profile and progress are yours. You let us store and process them only to provide Thai'd Up to you, as the Privacy Policy describes.

Some illustrations are Fluent Emoji by Microsoft, used under the MIT License.

• Where Minnie hasn't recorded a word yet, Thai audio comes from your device's own text-to-speech voice, which can occasionally mispronounce a word or a tone.
• Speaking feedback is automatic and approximate. It is there to help you practice, and is not a formal assessment of your Thai.
• Lessons are written and checked by Minnie. Newly added lessons may still be in review, and we correct mistakes as soon as we find them. Tell us at support@thaidup.app if you spot one.

We keep improving Thai'd Up, so features and lessons may change. We work to keep the app available but can't promise it will always be uninterrupted or error-free. Parts of it need an internet connection.

You can stop using Thai'd Up at any time and delete your account in Settings or on the account deletion page. Deleting your account cancels any subscription straight away so it never renews, and ends all paid access, lifetime access included. It doesn't refund anything by itself: email support@thaidup.app first if you think you are owed a refund. We may close accounts that seriously or repeatedly break these terms.

To the extent the law allows, Thai'd Up is provided "as is". Nothing in these terms takes away rights you have as a consumer that cannot be limited by contract.

We aren't responsible for losses that we could not reasonably have foreseen, or for problems caused by events outside our reasonable control. Where we are responsible for a loss, our total liability to you is limited to what you paid us in the 12 months before it happened. Nothing in these terms limits liability that the law does not allow to be limited, such as for fraud, or for death or personal injury caused by negligence.

Please read this section carefully. You and we agree to settle disputes by individual arbitration with JAMS, held online, instead of in court. In arbitration there is no judge or jury, and neither of us can bring or join a class action. If you live in the EU, EEA, UK or Switzerland, or in another country whose law does not allow this, see "If you live outside the US" below.

• Talk to us first. If you have a problem with Thai'd Up, email support@thaidup.app and tell us what happened and what you would like us to do. If we have a problem with you, we will email the address on your account. A guest account has no email address, so we won't start an arbitration against a guest until we have been able to tell them about the problem. Either way, we both get 30 days to try to sort it out before anyone starts an arbitration, and any time limit for bringing the claim is paused during those 30 days.
• Arbitration with JAMS. If we can't sort it out, any dispute between you and us about Thai'd Up or these terms is decided by binding arbitration administered by JAMS, an independent dispute resolution organization. JAMS uses its Streamlined Arbitration Rules & Procedures or its Comprehensive Arbitration Rules & Procedures, whichever its rules say fit the size of the claim, together with the JAMS Consumer Arbitration Minimum Standards, all in the versions in effect when the arbitration starts. If anything in this section conflicts with those Minimum Standards, the Minimum Standards win. You can read them all at jamsadr.com. If JAMS can't or won't administer the arbitration, or we don't pay our share of the fees on time, you can take the claim to court instead (or we can both agree on another arbitration provider).
• Online only. The arbitration happens entirely online: hearings take place by video call, or by phone if you can't use video, and everything else is done in writing. There are no in-person hearings, so nobody has to travel. If we both agree, the arbitrator can decide on the written submissions alone, without a hearing.
• A fair process. The arbitrator is neutral and independent of both of us, and you have a fair say in choosing them under the JAMS rules. You can have a lawyer, but you don't need one. Both sides can exchange information relevant to the dispute. The arbitrator gives a written decision that explains the outcome of each claim, and any court with jurisdiction can enforce it.
• Costs. If you start the arbitration, the most you pay is the consumer filing fee in JAMS's current fee schedule. We pay all other JAMS and arbitrator fees. If we start it, we pay all of the JAMS and arbitrator fees. If you hire a lawyer, you pay them, unless the arbitrator or the law makes us pay. We will not ask you to pay our lawyers' fees or costs, even if we win.
• The same remedies as in court. The arbitrator can award you anything a court could award you on your own claim, including damages and, where the law allows, your lawyers' fees. If the law gives you a remedy that can't be awarded in arbitration, you can still ask a court for it. Nothing here stops you from complaining to a government agency, such as a consumer protection or data protection authority.
• Small claims court. Instead of arbitration, either of us can bring an individual claim in a small claims court that has jurisdiction over it, for as long as the claim stays there.
• Individual claims only. You and we each bring claims only for ourselves, not as a member or representative of a group in a class, collective or representative action. The arbitrator can't combine different people's claims or hear a class or representative case. Only a court can decide whether this paragraph can be enforced. If a court finds that it can't be enforced for a particular claim or remedy, that claim or remedy goes to court instead, never to a class arbitration, and everything else is still arbitrated individually.
• Governing law. These terms are governed by the laws of the State of Florida, USA. The Federal Arbitration Act governs this agreement to arbitrate. Apart from small claims cases, enforcing an arbitrator's decision and the court cases this section describes, disputes don't go to court.
• Changes to this section. If we change this section, the change does not apply to a dispute that either of us has already told the other about.
• If you live outside the US. If you are a consumer, you keep the protection of the mandatory laws of the country where you live, whatever these terms say. If you live in the EU, EEA, UK or Switzerland, or anywhere else whose law does not let a consumer agree to arbitration before a dispute arises, the arbitration and individual-claims parts of this section don't apply to you: you can bring a claim in the courts where you live. If we both agree once a dispute has arisen, we can still settle it through JAMS online arbitration.

When we change these terms we update the date at the top, and we'll tell you by email or in the app before an important change takes effect. If you keep using Thai'd Up after that, the new terms apply.
